The Reserve Bank of India (RBI) on Friday approved the scheme of amalgamation of the Indian branches of Dubai-based Emirates NBD Bank P.J.S.C. with RBL Bank. The decision completes the regulatory process for one of the most closely watched cross-border transactions in Indian banking.

According to the RBI statement, the amalgamation takes effect on December 1, 2026. “All the Indian branches of Emirates NBD Bank P.J.S.C. will function as branches of RBL Bank Limited with effect from December 1, 2026,” the central bank said.

From Announcement to Approval: A Year-Long Journey

The transaction was first announced in October 2025 and moved through several regulatory stages. The Competition Commission of India approved the proposed combination in January this year. In May, the Finance Ministry allowed Emirates NBD to acquire up to a 74 per cent stake in RBL Bank, and the required regulatory and government approvals for the broader deal were secured that month.

In June 2026, Emirates NBD completed the acquisition of a majority stake through a capital infusion of around Rs 26,000 crore. It now holds 60 per cent of RBL Bank’s expanded share capital. RBL Bank’s board also approved the appointment of five Emirates NBD nominee directors as additional non-executive, non-independent directors, effective June 18, 2026, subject to shareholder approval.

Why It Matters

Today’s approval moves the deal from ownership to integration. Until now, Emirates NBD ran its own small branch network in India while controlling RBL Bank. Folding the three branches into RBL Bank removes this parallel structure and creates a single operating entity in India. For customers of the Emirates NBD branches, the change means they will become RBL Bank customers once the transition takes effect.

Industry Impact

The deal is the largest foreign direct investment in the Indian banking sector, and it carries significance beyond its size. A foreign lender taking majority control of an Indian private bank through a large capital infusion is uncommon. Regulators and industry observers are likely to watch how this governance model performs. If the integration goes smoothly, it could set a reference point for future foreign participation in Indian private banks.

The capital infusion also gives RBL Bank a stronger balance sheet, which could support lending growth and expansion.

The Bigger Picture: Emirates NBD’s Long Road in India

Emirates NBD’s interest in India goes back decades. It maintained a representative office in the country from March 2000. In 2016, it received RBI approval to open its first bank branch in Mumbai and began operations in India in July 2017. It later opened branches in Gurugram and Chennai.

This gradual entry, from a representative office to its own branches and then to majority control of a listed Indian bank, shows a long-term commitment to the Indian market, which has strong trade and remittance ties with the UAE.

What Comes Next

The focus now turns to the December 1 transition. Key points to watch are how smoothly accounts, systems and customer services move from the Emirates NBD branches to RBL Bank, how shareholders vote on the nominee directors, and how RBL Bank’s strategy changes under its new majority owner. The paperwork is finished. The integration work has yet to begin.
